These Terms of Service ("Terms") govern your access to and use of the OligoQHSE website, software products, applications, platforms and related services ("Services") provided by OligoQHSE ("OligoQHSE", "we", "us" or "our").
By accessing or using the OligoQHSE website or Services, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use the Services.
If you are using the Services on behalf of a company, organisation or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity and its authorised users.
OligoQHSE provides software and technology solutions designed to support organisations with quality, health, safety, security and environmental ("QHSE") management and related operational processes.
Depending on the product and subscription, the Services may include functionality relating to audits, observations, incidents, risk management, documents, training, certificates, assets, PPE, job management, environmental management, carbon management, reporting, analytics and other business processes.
The Services are intended primarily for businesses, organisations and professional users.
You must have the legal capacity and authority required under applicable law to enter into these Terms and use the Services.
Certain OligoQHSE Services may require an account. When creating an account, you agree to provide accurate, current and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.
You must notify OligoQHSE promptly if you become aware of unauthorised access to your account or any suspected security incident involving your credentials.
Where the Services are provided to an organisation, the organisation may permit its authorised employees, contractors or other permitted users to access the Services in accordance with the applicable subscription or agreement.
Customers are responsible for ensuring that authorised users comply with these Terms and any applicable organisational policies.
You agree to use the Services only for lawful purposes and in accordance with these Terms.

Customers may submit or upload business information, operational information, employee information, QHSE records, documents, reports and other data to the OligoQHSE platform ("Customer Data").
As between OligoQHSE and the customer, the customer retains its rights in Customer Data, subject to the rights necessary for OligoQHSE to provide the Services.
Customers are responsible for ensuring that they have all necessary rights, permissions, notices and lawful bases required to collect and process Customer Data through the Services.
OligoQHSE's collection and use of personal information is described in our Privacy Policy .
Where OligoQHSE processes personal data on behalf of a customer, the parties may enter into a separate Data Processing Agreement ("DPA") where required by applicable data protection law.
Customers are responsible for providing appropriate privacy notices to individuals whose personal information they submit to the platform.
OligoQHSE is a software platform designed to support QHSE-related management, documentation, monitoring and reporting activities.
The Services do not replace professional judgement, statutory obligations, regulatory requirements, organisational safety procedures, professional advice, inspections or other responsibilities of the customer.
Customers remain responsible for determining whether information, recommendations, reports, workflows or records generated or managed through the Services are appropriate for their specific circumstances.
OligoQHSE may provide product demonstrations, trials, evaluation access or other temporary access to the Services.
Trial or demonstration access may be subject to limitations communicated at the time of access. OligoQHSE may modify or discontinue a trial or demonstration environment at any time.
Certain OligoQHSE Services may require payment of subscription or other applicable fees.
Applicable pricing, billing frequency, subscription limits and other commercial terms will be communicated through the applicable order, proposal, subscription agreement or other commercial documentation.
Unless otherwise agreed in writing, customers are responsible for applicable taxes, duties or governmental charges associated with their purchase or use of the Services.
OligoQHSE and its licensors retain all rights, title and interest in the Services, including the software, interfaces, designs, documentation, trademarks, logos, graphics, features and underlying technology, except for rights expressly granted to customers under these Terms or a separate agreement.
These Terms do not transfer ownership of OligoQHSE intellectual property to you or your organisation.
If you provide suggestions, ideas, recommendations or other feedback regarding the Services, OligoQHSE may use that feedback to improve its products and services without creating an obligation to compensate you, provided that such use does not disclose your confidential information.
The Services may integrate with or depend on third-party services, platforms, infrastructure or applications.
Third-party services may be governed by their own terms and privacy policies. OligoQHSE is not responsible for third-party services to the extent that such services are outside OligoQHSE's reasonable control.
We aim to maintain reliable availability of the Services, but we do not guarantee that the Services will always be available, uninterrupted, error-free or secure.
Services may occasionally be unavailable due to maintenance, upgrades, security events, infrastructure failures, third-party service failures or circumstances beyond our reasonable control.
OligoQHSE may modify, improve, replace or discontinue features of the Services from time to time.
OligoQHSE maintains reasonable technical and organisational measures intended to protect the Services and information processed through them.
However, no electronic system or method of transmission can be guaranteed to be completely secure. Customers are responsible for maintaining appropriate security practices for their own accounts, devices and authorised users.
Each party may receive confidential information from the other party in connection with the Services.
Each party agrees to use reasonable measures to protect confidential information and to use it only for purposes permitted under the applicable relationship.
OligoQHSE may temporarily suspend access to the Services where reasonably necessary to:
Where reasonably practicable, OligoQHSE will seek to provide notice before or promptly after a suspension.
Access to the Services may terminate in accordance with the applicable subscription, order, service agreement or other contractual arrangement.
Upon termination, your right to access or use the Services may cease, subject to any applicable contractual provisions relating to data retrieval, retention or deletion.
Customer Data will be handled following termination in accordance with the applicable customer agreement and data-processing arrangements.
Customers are responsible for retrieving any data they require before the applicable retention or deletion period expires.
To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.
OligoQHSE does not warrant that the Services will meet every customer's specific requirements or that the Services will operate without interruption, delay, defects or errors.
OligoQHSE does not provide legal, regulatory, medical, financial or professional advice through the Services.
To the maximum extent permitted by applicable law, OligoQHSE will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or anticipated savings arising from or relating to use of the Services.
Any liability limitations or exclusions applicable to a particular customer may be further governed by the applicable commercial or subscription agreement.
To the extent permitted by applicable law and any applicable customer agreement, you agree to be responsible for claims arising from your unlawful use of the Services, violation of these Terms, or infringement of third-party rights resulting from Customer Data or your activities.
OligoQHSE will not be responsible for failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, terrorism, government actions, widespread internet or telecommunications failures, infrastructure failures, labour disputes or other events of similar nature.
We may update these Terms from time to time to reflect changes to our Services, business practices, technology or legal requirements.
When material changes are made, we may update the "Last Updated" date and, where appropriate, provide additional notice.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
These Terms and any dispute arising from or relating to the Services will be governed by the applicable law specified in the relevant customer agreement, order, subscription agreement or other contractual arrangement.
If no separate agreement specifies governing law or dispute resolution terms, the parties should seek to resolve disputes through good-faith discussions before pursuing other available legal remedies.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
These Terms, together with any applicable order, subscription agreement, privacy policy, DPA or other written agreement between the parties, govern your use of the Services.
Where a separate written agreement conflicts with these Terms, the terms of the applicable written agreement will control to the extent of the conflict.
